Terms & Conditions of Service

These Terms & Conditions govern your access to and use of the digital matchmaking directory, database, and ecosystem services provided by Turna Capital Danışmanlık A.Ş. ("Company"). By accessing or registering on our platform, you fully agree to comply with these terms.

1. Description of Services & SPK Regulatory Disclaimer

Turna Capital operates solely as an online directory, classified listings provider, and hosting provider (Yer Sağlayıcı) under Law No. 5651. The platform aims to connect melek (angel) investors, startup founders, franchise brands, and professional consultants. Turna Capital is NOT an investment firm, portfolio manager, or licensed crowdfunding platform under the Capital Markets Board (SPK) of Turkey. The platform does not intermediate investment transactions, collect funds, offer stock subscriptions, or provide financial investment advice. All investment negotiations, commercial calculations, and due diligence are conducted independently by the users at their own risk.

2. Identity Verification (KYC) and Member Conduct

Users registering as verified accounts are required to supply authentic documentation to complete Know-Your-Customer (KYC) processes. You warrant that all documentation provided is accurate. The Company checks basic registrations but assumes no civil or criminal liability for the accuracy, legality, or commercial validity of any advertisements or listings posted by members. Turna Capital applies a take-down mechanism upon receiving written notifications for trademark or intellectual property violations.

3. Data Room, NDAs, and Evidence Agreement (HMK m. 193)

Access to sensitive startup assets (e.g. Pitch Decks, financial models) requires the approval of the listing owner and the digital acceptance of a Non-Disclosure Agreement (NDA) by the investor. When signing an NDA, the platform logs your unique identifier, timestamp, and IP address. Under Article 193 of the Turkish Code of Civil Procedure (HMK), you agree that all computer, database, transaction logs, and IP history maintained by Turna Capital constitute exclusive, binding, and conclusive written evidence in any judicial dispute arising from an NDA breach or platform usage.

4. Limitation of Liability and Jurisdiction

Under no circumstances shall Turna Capital or its employees be liable for any direct, indirect, or consequential financial losses, lost profits, or damages resulting from investments or commercial collaborations initiated through matchmaking on the platform. Users are advised to seek independent legal, tax, and financial counsel before executing any transaction. All disputes arising from this agreement are governed by Turkish Law, and Istanbul (Çağlayan) Courts and Execution Offices have exclusive jurisdiction.
